NEMT STANDARD TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the NEMT Standard website, and your purchase or use of any consulting service, advisory service, online or in-person training, certification class, digital product, or educational material offered by NEMT Standard LLC ("NEMT Standard," "we," "us," or "our").

By accessing our website, purchasing, booking, registering for, or participating in any service or product, or by accepting these Terms through checkbox consent, electronic signature, or completed payment, you ("you," "Client," or "Participant") acknowledge that you have read, understood, and agreed to these Terms in full. If you do not agree, do not use the website or purchase any service or product.

A separate written agreement is not required. These Terms constitute the full and binding agreement between you and NEMT Standard for all services and products, and they replace any prior consulting agreement, policy, or representation.

​

1. NATURE OF OUR SERVICES

NEMT Standard provides educational, instructional, advisory, training, and resource-based services related to the Non-Emergency Medical Transportation (NEMT) industry. Our offerings generally fall into two primary service categories:

​

1.1 Business Services and Digital Resources. This category includes NEMT consulting and advisory services, strategy sessions, downloadable templates, guides, frameworks, recordings, online educational products, and other digital resources offered by NEMT Standard. Consulting and advisory services are governed by the provisions applicable to consulting, while digital products and resources are governed by the provisions applicable to digital products.

1.2 Training and Certification Services. This category includes in-person training, hands-on instruction, skills verification, practical evaluations, and certification-related classes offered by NEMT Standard, including, without limitation, CTAA PASS Wheelchair Securement, NEMTAC AMDS, NEMTAC CSO, and other training or certification programs that may be offered in the future.

Different terms may apply depending on the service or product purchased. The provisions specifically applicable to a service category control with respect to that service, while the general provisions of these Terms apply to all services and products unless otherwise stated.

NEMT Standard does not:

  • Provide legal, financial, tax, insurance, medical, or regulatory advice

  • Act as a broker, employer, compliance authority, or agent

  • Make business decisions on your behalf

  • Perform operational, administrative, or compliance work for you

​

All discussions, materials, templates, examples, frameworks, call summaries, blog content, training content, and recommendations are provided for educational and informational purposes only. You remain solely responsible for all business decisions, including compliance, contracts, licensing, insurance, drivers, vehicles, staffing, operations, and implementation of any guidance provided.

​

2. ELIGIBILITY

You must be at least eighteen (18) years old and able to enter into a legally binding agreement to purchase services or products or to register for training. By purchasing or registering, you confirm that you meet this requirement and that all information you provide is accurate.

​

3. NO GUARANTEES

NEMT Standard makes no guarantees regarding:

  • Licensing or regulatory approval

  • Broker, payer, or facility contracts

  • Insurance acceptance

  • Compliance determinations

  • Certification, employment, or competency outcomes

  • Revenue, profitability, or business success

All outcomes depend entirely on your own independent actions, execution, and individual circumstances.

4. PAYMENT TERMS

All consulting services, advisory services, strategy calls, training, certification classes, and digital products require full prepayment. Services and products will not be scheduled, initiated, delivered, or accessible until payment has been received and cleared.

Where an invoice is issued, payment is due immediately upon receipt. NEMT Standard is not obligated to provide any service or product prior to full payment. All prices are stated in U.S. dollars.

5. REFUND POLICY

All purchases are final. All consulting services, advisory calls, strategy sessions, training, certification classes, digital products, and materials are non-refundable once purchased, booked, or accessed.

No refunds will be issued for any reason, including but not limited to:

​

  • Missed, canceled, or rescheduled sessions or classes

  • No-shows or late arrivals

  • Scheduling conflicts

  • Dissatisfaction or change of mind

  • Business closures

  • Regulatory, licensing, or certification issues

  • Lack of results

  • Failure to pass a hands-on evaluation or certification exam

Payments are non-transferable to another person or business. Additional cancellation and rescheduling rules that apply to in-person classes are described in Section 8.

​

6. CONSULTING AND ADVISORY SERVICES

6.1 Scope. Consulting is delivered online or in person as described in the purchased package. Scheduled strategy calls are limited to the scope, duration, and quantity included in that package.

​

6.2 Communication. Communication outside of scheduled calls must occur by email only. NEMT Standard does not provide support by phone, text message, social media, direct message, or personal contact methods. Unscheduled calls, texts, or informal messages will not be responded to. Email is provided as a professional courtesy and does not constitute unlimited or ongoing advisory support. NEMT Standard will make reasonable efforts to respond within a reasonable business timeframe, but responses are not guaranteed within any specific period and are subject to availability and volume. Excessive, unreasonable, disruptive, or out-of-scope communication may require the purchase of an additional consulting package to continue support.

6.3 Non-Exclusivity. Consulting services are non-exclusive. NEMT Standard may provide services to other individuals, companies, and organizations, including those operating in the same geographic area, market, territory, or industry segment. No exclusivity, territorial protection, market protection, or competitive restriction is created, implied, or guaranteed. You waive any claim arising from NEMT Standard's engagement with other clients in the same or similar markets, industries, service areas, or territories.

6.4 Client Business Ideas. You acknowledge that NEMT Standard works with multiple NEMT providers and that similar business ideas, strategies, and operational models may be discussed with others. You waive any claim that NEMT Standard used, disclosed, or appropriated your business ideas, concepts, or plans.

​

6.5 No Ongoing Duty. NEMT Standard has no obligation to monitor your business, provide updates on regulatory changes, or notify you of new laws, broker requirements, or industry developments unless separately agreed in writing.

​

6.6 Recording and AI Capture. All strategy calls, consulting sessions, and advisory meetings are confidential and proprietary. You may not record, screen capture, photograph, transcribe, summarize, store, distribute, publish, transmit, share, or otherwise reproduce any session, in whole or in part, without prior written consent. This prohibition includes, without limitation, video, audio, and screen recordings, screenshots, transcriptions, AI-generated notes, AI meeting assistants, AI bots, AI summarization tools, automated transcription tools, cloud-based recording services, data scraping tools, and content repurposing platforms. Any unauthorized recording, transcription, AI capture, storage, or distribution is a material breach and may result in immediate termination of services without refund, in addition to any legal or equitable remedies available to NEMT Standard.

7. DIGITAL PRODUCTS

7.1 Scope. Digital products include online courses, downloadable templates, guides, frameworks, recordings, and any other electronic material offered for sale.

​

7.2 License. Upon full payment, you receive a limited, non-exclusive, non-transferable, revocable license to use the digital product for your own single business or personal use only. Ownership and all intellectual property rights remain with NEMT Standard.

​

7.3 Restrictions. You may not share, resell, sublicense, copy, distribute, publish, post, transfer, or provide access to any digital product to any third party, and you may not use any digital product to create a competing product or service, without prior written consent.

​

7.4 No Refunds. Due to the nature of digital products, all sales are final and non-refundable once purchased or accessed. Delivery is considered complete once access is provided or a download link or file is made available.

​

7.5 Access and Availability. NEMT Standard is not responsible for your failure to access a digital product due to incorrect contact information, device or software incompatibility, or internet issues on your end. Access may be delivered by email, download, or an online platform, and continued availability of any hosted content is not guaranteed indefinitely.

​

7.6 Contract Templates and Sample Documents. Any contract templates, agreements, forms, policies, or sample documents sold or provided by NEMT Standard are educational samples and general starting points only. They are not legal advice, are not drafted for your specific business, and are not guaranteed to be complete, current, compliant, or enforceable in your state or for your intended use.

 

You are solely responsible for reviewing, editing, customizing, and completing any template to make it accurate and applicable to your own business, and for ensuring it complies with all applicable laws and with the requirements of any hospital, facility, broker, payer, or other party you use it with. NEMT Standard strongly recommends that you have any template reviewed by a licensed attorney before use. You use any template at your own risk, and NEMT Standard is not responsible or liable for any outcome, dispute, loss, or claim arising from your use of, edits to, or reliance on any template or sample document.

8. IN-PERSON TRAINING AND CERTIFICATION CLASSES

This Section applies to all in-person training, hands-on instruction, skills verification, practical evaluations, and certification-related classes offered by NEMT Standard, including, without limitation, CTAA PASS Wheelchair Securement, NEMTAC AMDS, NEMTAC CSO, and any other in-person training or certification program offered in the future.

8.1 Instructor Credentials and Third-Party Credentialing Organizations. Training may be delivered by instructors holding credentials, authorizations, or certifications issued by third-party organizations, including CTAA (Community Transportation Association of America) and NEMTAC (Non-Emergency Medical Transportation Accreditation Commission). NEMT Standard is an independent training provider. References to CTAA, NEMTAC, or any other credentialing organization identify the applicable training or credentialing program and do not mean that NEMT Standard controls that organization's policies, certification decisions, fees, online-course requirements, processing times, or credential issuance. Instructor authorization or certification does not create a partnership, agency, employment, or joint venture between NEMT Standard and any third-party credentialing organization.

8.2 Educational Purpose and No Guarantee. Training is educational in nature and may provide instruction on securement principles, stretcher and patient handling, passenger safety, equipment use, driver safety, and other NEMT-related topics. Completion of a NEMT Standard class does not by itself guarantee certification, licensing, competency, employment eligibility, regulatory compliance, broker acceptance, insurance acceptance, or acceptance by any employer, facility, payer, or governmental authority. Participants remain responsible for satisfying all requirements imposed by the applicable credentialing organization, employer, broker, payer, regulator, or jurisdiction.

8.3 Assumption of Risk and Release. Training may include classroom instruction, hands-on demonstrations, physical activity, and the use of vehicles, lifts, ramps, wheelchairs, stretchers, securement systems, and other transportation or training equipment. Participation involves inherent risks, including slips, trips, falls, physical strain, lifting injury, contact with equipment, property damage, and other risks associated with hands-on activities. By registering for and participating in training, you voluntarily assume the risks inherent in the activities in which you choose to participate and agree to follow instructor directions, safety requirements, and equipment-use instructions. To the fullest extent permitted by applicable law, you release and hold harmless NEMT Standard, its owners, instructors, trainers, agents, and affiliates from claims arising from the ordinary and inherent risks of participation. Nothing in these Terms is intended to waive or limit any right or liability that cannot lawfully be waived or limited.

8.4 Participant Responsibility and Safety. Participants are responsible for acting safely, following instructor directions, using equipment only as instructed, and immediately reporting unsafe conditions or damaged equipment. Participants may not engage in horseplay, unsafe conduct, unauthorized equipment use, or any activity that may endanger themselves or others. NEMT Standard may stop a participant from performing an activity or remove a participant from a class when reasonably necessary for safety. Removal for unsafe, disruptive, or noncompliant conduct does not entitle the participant to a refund.

8.5 Prerequisites and Documentation. Certain classes require completion of prerequisite training, online coursework, certificates, or other documentation established by NEMT Standard or the applicable credentialing organization. Required documentation must be submitted by the deadline communicated for the class. Unless a different deadline is stated for a particular course, required documentation must be received no later than one (1) day before the scheduled class. Failure to timely satisfy prerequisites or submit required documentation may result in removal from the scheduled session without refund. At NEMT Standard's sole discretion, a registration may be moved to a future class based on availability. Rescheduling is not guaranteed.

8.6 Late Arrival and No-Show. Participants who arrive late or do not attend the scheduled class may be denied participation when attendance, instructional sequence, safety, or credentialing requirements would be affected. No refunds, rescheduling, or transfers will be offered for late arrivals or no-shows.

8.7 Cancellation and Non-Refundable Policy. All class registrations are final and non-refundable regardless of the reason for or timing of cancellation. No refund will be issued because of scheduling conflicts, travel issues, failure to satisfy prerequisites, late arrival, failure to attend, change of mind, failure to pass an evaluation, or any other participant-related reason. Registrations may not be transferred to another individual. Rescheduling is not a right and may be offered only at NEMT Standard's sole discretion and subject to availability.

If NEMT Standard is unable to conduct a class because of instructor illness, emergency, severe weather, facility issues, equipment issues, governmental action, or another circumstance affecting safe or practical delivery of the class, NEMT Standard may reschedule the affected class. NEMT Standard will make reasonable efforts to offer an alternative session. Except where otherwise required by applicable law, the remedy for a NEMT Standard-initiated class cancellation is rescheduling or a credit toward an available replacement session rather than reimbursement for travel, lodging, lost wages, missed work, or other incidental expenses.

8.8 Hands-On Evaluation and Certification Requirements. Certain programs require successful completion of a hands-on or practical evaluation. The instructor may determine whether a participant has demonstrated the skills required by the applicable course or credentialing standard. Failure to pass a hands-on evaluation may require retesting, re-attendance, additional training, or payment of an additional fee. No refund will be issued because a participant does not pass an evaluation, examination, or certification requirement.

8.9 Equipment, Clothing, and Participation Requirements. Participants must comply with any equipment, clothing, footwear, identification, documentation, or other participation requirements communicated for the class. A participant who arrives without required items or who cannot safely participate in required activities may be restricted from certain activities or denied participation when reasonably necessary for safety or to preserve the integrity of the training or evaluation. Such restriction or denial does not create a right to a refund.

8.10 Travel Training and Client-Provided Locations. NEMT Standard may provide training at a location supplied, selected, or arranged by a Client. The Client is responsible for providing a safe, suitable, accessible, and adequately prepared training environment, including sufficient space for hands-on activities and equipment, safe and unobstructed walkways, appropriate seating and tables, working lighting and power, appropriate entry and parking, and compliance with applicable occupancy, safety, and accessibility requirements. The Client is responsible for the condition of the premises and for obtaining any permissions or approvals necessary to conduct the training. If the location is unsafe, unsuitable, inaccessible for the planned training, improperly prepared, or unavailable at the scheduled time, NEMT Standard may delay, modify, shorten, relocate, reschedule, or cancel the session as reasonably necessary. Travel, lodging, mileage, shipping, or other costs already incurred or committed for travel training are non-refundable to the extent permitted by law.

8.11 Group and Employer Bookings. When a company, employer, or other organization books or pays for training on behalf of participants, the purchasing party is responsible for providing accurate participant information and for ensuring that each participant receives notice of these Terms and any applicable prerequisites, safety requirements, and class instructions. Each individual participant may also be required to separately acknowledge these Terms, releases, media permissions, or course-specific requirements before participating.

8.12 Photo, Video, and Media Release. Training sessions may be photographed, filmed, or otherwise recorded by NEMT Standard. By affirmatively accepting these Terms and participating in a class, you consent to NEMT Standard capturing your image, likeness, voice, and appearance during the session and grant NEMT Standard a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, edit, publish, display, distribute, and post such media for NEMT Standard's legitimate educational, informational, promotional, advertising, social-media, website, and marketing purposes, without additional compensation or approval.

​

NEMT Standard will not knowingly use a participant's name with an image for a testimonial or endorsement in a manner that falsely implies the participant made a statement or endorsement that the participant did not make. This media permission does not authorize participants to photograph, record, livestream, screen capture, or otherwise reproduce training sessions or materials.

​

Where NEMT Standard provides a separate media-consent checkbox or release, that consent will supplement this Section. If a participant does not wish to be photographed or recorded, the participant must notify NEMT Standard in writing before the class and should also notify the instructor upon arrival so reasonable efforts can be made to avoid intentionally capturing that participant. NEMT Standard cannot guarantee that a participant will not appear incidentally in wide-angle, crowd, or background images. Any media use remains subject to applicable law.

8.13 Accessibility and Reasonable Accommodations. NEMT Standard is committed to providing individuals with disabilities an equal opportunity to participate in its training programs. A participant who requires a reasonable accommodation should contact NEMT Standard as early as reasonably possible before the scheduled class and identify the accommodation requested. NEMT Standard will consider reasonable accommodation requests in accordance with applicable law.

​

Accommodations will be evaluated based on the individual request, the nature of the training, legitimate safety requirements, the training environment, and requirements established by the applicable credentialing organization. NEMT Standard is not required to provide an accommodation that would fundamentally alter the nature of the training or the skills being evaluated, compromise legitimate safety requirements, or otherwise exceed what is required by applicable law.

An accommodation does not automatically waive, reduce, or modify prerequisites, attendance requirements, hands-on skills evaluations, competency standards, examination requirements, or third-party certification requirements, except where required by law or authorized by the applicable credentialing organization.

​

8.14 Participant Property and Personal Expenses. Participants are responsible for their own personal property and for travel, lodging, meals, transportation, parking, childcare, missed work, and other expenses associated with attending training unless NEMT Standard expressly agrees otherwise in writing. To the fullest extent permitted by law, NEMT Standard is not responsible for lost, stolen, or damaged personal property or for incidental expenses resulting from a schedule change, delay, relocation, or rescheduled class.

8.15 Training Premises, Hazards, and Incidents. NEMT Standard may conduct training at its own location, a rented or third-party facility, or a Client-provided location. Participants must use reasonable care while on the premises, comply with posted rules and instructor directions, remain within authorized training areas, and promptly report spills, obstructions, damaged equipment, unsafe conditions, injuries, or other hazards. NEMT Standard may pause, modify, relocate, or stop an activity when a condition may affect participant safety.

When a training location is owned, operated, maintained, or controlled by a third party or Client, NEMT Standard does not assume responsibility for building, parking-area, walkway, restroom, elevator, stairway, or other premises conditions outside NEMT Standard's control. Nothing in these Terms is intended to release NEMT Standard from liability that cannot lawfully be waived or to eliminate duties imposed by applicable law.

Any injury, accident, equipment incident, property damage, or other safety event occurring during training should be reported to the instructor or NEMT Standard immediately. NEMT Standard may document the incident, including the circumstances, location, equipment involved, witness information, and photographs or video of the scene, and may preserve such information for safety, insurance, legal, and recordkeeping purposes.

9. INTELLECTUAL PROPERTY

All content, materials, templates, documents, call summaries, frameworks, course content, digital products, blog content, images, and other materials provided by or displayed on NEMT Standard are the proprietary intellectual property of NEMT Standard and are protected by applicable law. They are licensed for use by one business or individual only.

​

You may not record, copy, reproduce, screen capture, transcribe, summarize, store, distribute, publish, share, sell, sublicense, transfer, or provide access to any NEMT Standard materials or sessions, in whole or in part, to any third party without prior written consent. This prohibition includes the use of AI note-taking tools, transcription services, recording bots, automated meeting tools, AI summarization platforms, or similar technologies.

If you violate this Section, you agree that NEMT Standard may assess liquidated damages of five thousand dollars ($5,000) per violation, or two thousand five hundred dollars ($2,500) per document, whichever is greater, in addition to any other legal or equitable remedies available under Florida law. You acknowledge that this amount is a reasonable estimate of damages caused by unauthorized use or distribution of proprietary business materials.

10. WEBSITE AND AI-GENERATED CONTENT

Content published on the NEMT Standard website, including blog articles and educational posts, is provided for general informational and educational purposes only. It does not constitute legal, financial, tax, insurance, medical, regulatory, or professional advice, and it should not be relied upon as a substitute for advice from a qualified professional.

Some website and blog content may be created or assisted by artificial intelligence tools and is reviewed for general educational value. NEMT Standard does not warrant that any content is accurate, complete, current, or applicable to your specific situation. Laws, regulations, broker requirements, and industry standards change frequently and vary by jurisdiction. You are responsible for verifying any information before relying on it, and you use website content at your own risk.

10.1 Website and Digital Accessibility. NEMT Standard seeks to provide reasonable access to its website, digital content, products, and online services. If you experience difficulty accessing information, completing a transaction, or using a website feature because of a disability, please contact NEMT Standard at info@nemtstandard.com so that reasonable efforts can be made to provide assistance, an accessible alternative, or another reasonable method of access where appropriate. NEMT Standard does not represent or warrant that every third-party platform, linked website, file format, or external service is controlled by or fully accessible through NEMT Standard.

11. TESTIMONIALS AND RESULTS DISCLAIMER

Any testimonials, examples, or results shared by NEMT Standard reflect individual experiences and are not a guarantee that you will achieve similar results. Outcomes depend on many factors outside NEMT Standard's control, including your own effort, execution, market, and circumstances.

​

12. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all non-public business information shared during any engagement and not to disclose such information to third parties without prior written consent.

​

13. LIMITATION OF LIABILITY

To the fullest extent permitted by Florida law, NEMT Standard shall not be liable for any damages, losses, claims, or disputes arising from or related to its services, products, training, website, or content. This includes, without limitation, matters related to business operations, regulatory compliance, insurance coverage, contracts, employment decisions, revenue, losses, third-party relationships, and personal injury to the extent permitted by law. This limitation applies to direct, indirect, incidental, special, and consequential damages. To the extent any liability cannot be excluded, it is limited to the amount you paid for the specific service or product giving rise to the claim.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless NEMT Standard, its owners, agents, instructors, trainers, and consultants from any claims, damages, losses, liabilities, or legal actions arising from your business, operations, participation in training, or use of any service, product, material, or advice.

​

15. CHARGEBACKS AND PAYMENT DISPUTES

A cardholder's initiation of a payment dispute or chargeback does not, by itself, create a right to a refund or alter an otherwise applicable cancellation or refund policy. NEMT Standard may provide the payment processor, acquiring bank, card network, or other dispute administrator with records reasonably relevant to the transaction or dispute, including registration information, proof of electronic acceptance, the version of these Terms accepted, transaction records, communications, prerequisite notices, attendance or access records, class documentation, and evidence that services or products were provided or made available. Nothing in this Section limits any non-waivable right available under applicable law or card-network rules.

Because all sales are final and non-refundable, you agree not to initiate a chargeback, payment dispute, or reversal for any purchase covered by these Terms. Initiating a chargeback in violation of these Terms is a breach of this agreement. NEMT Standard reserves the right to dispute any chargeback with evidence of your acceptance of these Terms, to suspend or terminate your access to services, products, and materials, and to recover any resulting costs, including fees and reasonable attorney's fees.

16. RIGHT TO REFUSE OR TERMINATE SERVICE

NEMT Standard may refuse, suspend, or terminate services, training, or access to products at any time for abusive, unethical, unsafe, disruptive, or inappropriate behavior, or for any violation of these Terms, without refund.

17. THIRD-PARTY LINKS

Our website may include links to third-party websites. NEMT Standard is not responsible for the content, accuracy, or privacy practices of those websites, and links do not constitute endorsement.

​

18. FORCE MAJEURE

NEMT Standard is not liable for any failure or delay in performance due to events beyond its reasonable control, including acts of God, illness, emergencies, government actions, utility or platform outages, or other unforeseen circumstances.

​

19. INDEPENDENT RELATIONSHIP AND NO RELIANCE

Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship. NEMT Standard is an independent provider with no authority to bind or represent you. You acknowledge that you are not relying on NEMT Standard for professional, legal, financial, compliance, or regulatory advice, and that all decisions are made using your own independent judgment and professional advisors.

20. DISPUTE RESOLUTION

20.1 Governing Law and Venue. These Terms are governed by the laws of the State of Florida. Any dispute, claim, or action arising out of or relating to these Terms, or to any service or product, shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida.

​

20.2 No Class Actions. Any dispute must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.

​

20.3 Time Limitation on Claims. Any claim arising from these Terms, or from any service or product, must be brought within one (1) year of the event giving rise to the claim, or it is permanently barred.

​

20.4 Attorney's Fees. In any dispute arising from these Terms, the prevailing party is entitled to recover reasonable attorney's fees and costs.

​

21. ELECTRONIC ACCEPTANCE AND COMMUNICATIONS

Electronic acceptance, including affirmative checkbox consent, electronic signature, registration submission, or completed online payment after these Terms are presented or linked, constitutes your electronic acceptance of these Terms to the fullest extent permitted by law. NEMT Standard may maintain electronic records showing the version of the Terms presented, the date and time of acceptance, registration information, transaction information, and other records reasonably used to document acceptance. You consent to receive communications from NEMT Standard electronically, including by email, and agree that electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.

22. MODIFICATIONS TO THESE TERMS

NEMT Standard may update or modify these Terms at any time. Updates are effective when posted to the website. Your continued use of the website, or any purchase or participation after changes are posted, constitutes acceptance of the updated Terms. Please review these Terms periodically.

23. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

24. SURVIVAL

All provisions relating to payment, refunds, intellectual property, confidentiality, limitation of liability, indemnification, chargebacks, and dispute resolution survive the termination or completion of any service, product, or engagement.

These Terms constitute the entire agreement between you and NEMT Standard and supersede all prior discussions, emails, agreements, or representations, including any prior consulting agreement or policy.
